These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Aleksandr Soshnikov, Individual Entrepreneur, registered in Georgia, located at 1 Ilia and Nino Nakashidze St., Apt. 3, Tbilisi 0108, Georgia ("ThreadMemory," "we," "us," or "our"), governing your access to and use of the ThreadMemory platform, including our website, applications, APIs, and related services (collectively, the "Service").

1. Acceptance of Terms

1.1 Binding Agreement

By creating an account, clicking "I agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. This is a clickwrap agreement: your affirmative action at signup (clicking the acceptance checkbox or button) constitutes your electronic signature and acceptance. We record your user ID, timestamp, IP address, and the version of Terms you accepted for our records.

1.2 Age Requirement

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old.

1.3 Authority to Bind

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to both you as an individual and the entity you represent.

1.4 Additional Agreements

Your use of the Service is also subject to our Privacy Policy, which is incorporated into these Terms by reference. If you purchase a subscription, the payment terms in Section 4 and Paddle's Checkout Buyer Terms also apply.

2. Description of Service

2.1 What ThreadMemory Does

ThreadMemory is an AI-powered knowledge routing platform that connects your team's chat platforms to your productivity tools. The Service:

  • Connects to team chat sources, including Slack, Discord, and Telegram
  • Uses artificial intelligence to automatically classify important discussions by type (decisions, bug reports, tasks, knowledge articles, questions)
  • Routes classified content to destination tools, including Notion, GitHub Issues, Jira, and Confluence
  • Generates summaries and structured artifacts from conversations

2.2 AI as a Core Component

Artificial intelligence is a core component of the Service, not an optional add-on. By using ThreadMemory, you acknowledge and agree that your messages will be processed by AI systems as described in Section 6.

2.3 Service Plans

The Service is available in the following tiers. Current plan details and pricing are available on our Pricing page.

We reserve the right to modify plan features, limits, and pricing with prior notice as described in Section 4.

3. Account Registration & Workspace

3.1 Account Creation

To use the Service, you must create an account using one of our supported authentication methods (Google OAuth, Slack OAuth, or email and password). You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to secure your account.

3.3 One Account per Person

Each account is for a single individual. You may not share your account credentials with others or allow multiple people to use the same account.

3.4 Workspaces

The Service is organized around workspaces. The person who creates a workspace is the workspace owner. Workspace owners have full authority over their workspace, including the ability to:

  • Invite and remove workspace members
  • Assign roles (owner, admin, member) to workspace members
  • Connect and disconnect source and destination integrations
  • Configure routing rules and AI processing settings
  • Control data retention and deletion within the workspace
  • Manage the workspace's subscription and billing

3.5 Workspace Members

If you are invited to a workspace as a member, your access to that workspace is governed by the workspace owner. The workspace owner may modify your role, restrict your access, or remove you from the workspace at any time. Your rights to data within a shared workspace are subject to the workspace owner's decisions.

4. Subscription, Payment & Billing

4.1 Paddle as Merchant of Record

Our order process is conducted by our online reseller Paddle.com Market Limited ("Paddle"). Paddle is the merchant of record for all purchases. This means:

  • Dual-contract structure. When you purchase a subscription, two agreements apply: (1) a sale contract between you and Paddle, governed by Paddle's Checkout Buyer Terms, and (2) this license and service contract between you and ThreadMemory.
  • Payment processing. Paddle handles all payment processing, invoicing, sales tax, VAT, and billing-related inquiries. Charges on your statement will appear from "Paddle" or "Paddle.net," not "ThreadMemory."
  • Refunds and disputes. Refund requests and billing disputes are handled by Paddle in accordance with their terms.

4.2 Free Tier

The Free plan provides limited access to the Service at no cost. Free plan users are subject to the limits described in Section 2.3. We reserve the right to modify or discontinue the Free plan at any time with 30 days' notice.

4.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. By subscribing to a paid plan, you provide separate, affirmative consent to these automatic recurring charges. We will clearly disclose the subscription terms, including price and billing frequency, before collecting your payment information.

4.4 Cancellation

You may cancel your subscription at any time through the billing section in your account settings or via Paddle's customer portal. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of that period. No partial refunds are issued for unused time within a billing period unless required by applicable law.

4.5 Price Changes

We may change subscription prices at any time. If we increase the price of your current plan, we will provide at least 30 days' advance notice via email before the change takes effect. The new price will apply starting at your next billing cycle after the notice period. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

4.6 Renewal Reminders

For annual subscriptions, we will send a renewal reminder via email between 15 and 45 days before your subscription renewal date, in compliance with applicable consumer protection laws. If your account includes a free trial that converts to a paid subscription, we will notify you between 3 and 21 days before the trial ends and the first charge occurs.

4.7 14-Day Withdrawal Right

If you are a consumer located in Georgia, the European Union, the European Economic Area, or the United Kingdom, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason, in accordance with the Georgian Consumer Protection Law and/or the EU Consumer Rights Directive (2011/83/EU).

To exercise your withdrawal right:

  • Contact us at [email protected] or contact Paddle directly within 14 days of your purchase.
  • Your refund will be issued within 14 days of your withdrawal request, processed through Paddle using the same payment method you used for the original purchase.

By consenting at checkout to immediate access to the Service before the withdrawal period expires, you acknowledge that you may lose your withdrawal right once the Service has been fully performed, in accordance with EU Consumer Rights Directive Article 16(a). However, for ongoing subscription services, you may still withdraw within the 14-day period.

5. Connector Authorization & Data Access

5.1 Source Connectors

When you connect a source platform (such as Slack, Discord, or Telegram) to ThreadMemory, you grant us permission to read messages from the specific channels, servers, or groups that you explicitly select for monitoring. We do not access channels, conversations, or data beyond what you have selected.

5.2 Destination Connectors

When you connect a destination tool (such as Notion, GitHub Issues, Jira, or Confluence), you grant us permission to create and update content in the specific databases, repositories, projects, or spaces that you designate. We do not modify or access content in your destination tools beyond what is necessary to deliver routed artifacts.

5.3 Revoking Access

You may disconnect any source or destination integration at any time through your workspace settings. Upon disconnection, we will stop reading from or writing to the disconnected platform. You may also revoke ThreadMemory's access directly from the third-party platform's settings (for example, from Slack's App Management page).

5.4 Platform Compliance

ThreadMemory complies with the API terms of service of all integrated platforms. Our use of each platform's API is subject to that platform's applicable terms and policies.

5.5 Slack-Specific Terms

In accordance with Slack's API Terms of Service and data usage policies:

  • ThreadMemory processes Slack messages on a temporary basis. Raw message content is retained for 24 to 48 hours for pipeline processing and is then automatically purged.
  • We do not use Slack data to train, fine-tune, or improve any AI or machine learning models.
  • AI-generated artifacts (summaries, classifications, routed documents) contain synthesized summaries and structured data, not verbatim reproductions of Slack messages.
  • Our use of the Slack API is subject to Slack's evolving terms. If Slack modifies its API terms in a way that affects the Service, we will update our practices accordingly and notify affected customers.

6. AI Processing & Automated Systems

6.1 How AI Is Used

ThreadMemory uses artificial intelligence to perform the following functions:

  • Classification. Identifying whether a message or thread is a decision, bug report, task, knowledge item, or question.
  • Importance scoring. Determining the significance of a discussion on a scale used for routing decisions.
  • Summarization. Generating concise summaries of conversations and threads.
  • Routing. Matching classified content to the appropriate destination tool based on your configured rules.
  • Formatting. Adapting content to the specific format required by each destination tool.

6.2 Third-Party AI Processing

Messages are sent to OpenAI's API for processing. Under OpenAI's API data usage policy, data submitted through their API is not used to train or improve OpenAI's models. ThreadMemory does not use your data to train, fine-tune, or improve any AI models (ours or third-party).

6.3 PII Handling

Our AI pipeline includes automated personally identifiable information (PII) detection and scrubbing. Sensitive data such as email addresses, phone numbers, and similar identifiers are automatically redacted before content is routed to destination tools. However, no automated system is perfect, and some PII may occasionally pass through.

6.4 AI Accuracy

AI-generated content, including classifications, summaries, and routed artifacts, may contain errors, omissions, or inaccuracies. ThreadMemory does not guarantee the accuracy, completeness, or reliability of any AI-generated output. You are responsible for reviewing AI-generated content before relying on it for decisions or actions.

6.5 AI-Generated Content Labeling

In compliance with the EU AI Act (Regulation 2024/1689), Article 50(2), content generated by ThreadMemory's AI systems is labeled as AI-generated. This labeling is applied in a machine-readable format where technically feasible. Under the AI Act framework, ThreadMemory is the provider of the AI system, and customers using the Service are deployers.

7. Intellectual Property

7.1 ThreadMemory's Intellectual Property

The Service, including its software, design, user interface, features, documentation, trademarks, and all related intellectual property, is owned by ThreadMemory and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use ThreadMemory's trademarks, logos, or branding without our prior written consent.

7.2 Your Data

You retain full ownership of all data you submit to the Service, including messages, files, and configurations ("Your Data"). We do not claim any ownership rights over Your Data.

7.3 AI-Generated Artifacts

You own the AI-generated artifacts (summaries, classifications, and routed documents) that the Service creates from Your Data. We claim no ownership over the output generated for your workspace.

7.4 License to Process

By using the Service, you grant ThreadMemory a limited, non-exclusive, worldwide license to access, process, store, and transmit Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account, subject to any legally required retention periods.

7.5 Restrictions

We will not use Your Data for marketing purposes, sell Your Data to third parties, or use Your Data to train AI models. The license in Section 7.4 is strictly limited to operating and delivering the Service to you.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right, including intellectual property and privacy rights.
  • Transmit, store, or process content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any systems or networks connected to the Service.
  • Circumvent, disable, or interfere with security features of the Service, including authentication, encryption, or access controls.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law.
  • Use automated means (bots, scrapers, crawlers) to access the Service except through our published APIs with valid authentication.
  • Misrepresent AI-generated output as solely human-created content, particularly in contexts where such misrepresentation could be misleading or harmful.
  • Use the Service, or data obtained from the Service, to develop, train, or improve a product or service that competes with ThreadMemory.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service, including by transmitting malware or engaging in denial-of-service attacks.

We reserve the right to investigate and take appropriate action, including suspending or terminating your account, for violations of this section.

9. Data Processing & Privacy

9.1 Privacy Policy

Our Privacy Policy describes how we collect, use, store, and share personal data. The Privacy Policy is incorporated into these Terms by reference.

9.2 Roles and Responsibilities

For the purposes of the EU General Data Protection Regulation (GDPR) and equivalent data protection laws:

  • The workspace owner is the data controller, determining the purposes and means of processing personal data within their workspace.
  • ThreadMemory is the data processor, processing personal data on behalf of the workspace owner to provide the Service.

9.3 Data Processing Terms

In accordance with GDPR Article 28, the following data processing terms are embedded in this agreement and apply when ThreadMemory processes personal data on your behalf:

  • Documented instructions. We process personal data only on your documented instructions, including as set forth in these Terms and your workspace configuration. If we are required by law to process data for any other purpose, we will inform you of that legal requirement before processing, unless the law prohibits us from doing so.
  • Confidentiality. All persons authorized to process personal data on our behalf are bound by confidentiality obligations.
  • Security measures. We implement appropriate technical and organizational measures to protect personal data, including encryption at rest and in transit, access controls, and regular security assessments.
  • Sub-processors. We maintain a list of sub-processors at threadmemory.com/legal/subprocessors. We will notify you of any intended changes to our sub-processors at least 14 days before the change takes effect, giving you the opportunity to object. If you have a reasonable objection that we cannot resolve, you may terminate the affected service.
  • Data subject requests. We will assist you in responding to data subject requests (access, rectification, erasure, portability, restriction, and objection) by providing appropriate technical and organizational measures.
  • Data deletion. Upon termination of the Service or at your request, we will delete or return all personal data processed on your behalf, unless applicable law requires continued storage. See Section 12 for the data export window.
  • Breach notification. In the event of a personal data breach, we will notify you without undue delay and in any event within 72 hours of becoming aware of the breach, providing sufficient information to enable you to fulfill your own breach notification obligations.
  • International transfers. Where personal data is transferred outside the European Economic Area, we rely on Standard Contractual Clauses (Module 2: Controller-to-Processor) adopted by the European Commission, supplemented by additional safeguards where necessary.

9.4 Data Export

You may export your workspace data at any time in JSON format through the Service. Upon account termination, a 30-day data export window is provided before permanent deletion. See Section 12 for details.

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THREADMEMORY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO THREADMEMORY (VIA PADDLE) DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU ARE ON THE FREE PLAN AND HAVE NOT PAID ANY FEES, OUR MAXIMUM LIABILITY SHALL NOT EXCEED FIFTY EUROS (EUR 50).

10.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THREADMEMORY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF THREADMEMORY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Exceptions

The limitations in Sections 10.1 and 10.2 do not apply to liability arising from:

  • Fraud or willful misconduct by either party
  • Breach of confidentiality obligations regarding Your Data
  • Infringement of the other party's intellectual property rights
  • Your payment obligations under these Terms
  • Any liability that cannot be limited or excluded under applicable law

10.4 AI Output

Without limiting the foregoing, ThreadMemory shall not be liable for any decisions, actions, or omissions made in reliance on AI-generated output, including classifications, summaries, and routed artifacts. You acknowledge that AI output is provided for informational purposes and should be independently verified.

11. Warranty Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THREADMEMORY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT, INCLUDING CLASSIFICATIONS, SUMMARIES, AND ROUTED ARTIFACTS.
  • ANY WARRANTY REGARDING THE AVAILABILITY, ACCURACY, OR FUNCTIONALITY OF THIRD-PARTY INTEGRATIONS, INCLUDING SLACK, DISCORD, TELEGRAM, NOTION, GITHUB, JIRA, AND CONFLUENCE.
  • ANY WARRANTY THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

12. Termination & Suspension

12.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your workspace through the account settings, or by contacting us at [email protected]. If you are on a paid plan, cancellation takes effect at the end of your current billing period.

12.2 Termination by ThreadMemory

We may terminate your account with 30 days' written notice via email. If we terminate your account for reasons other than a breach of these Terms, we will issue a pro-rated refund for any unused portion of annual subscriptions, processed through Paddle.

12.3 Suspension

We may immediately suspend your access to the Service, without prior notice, if:

  • Your payment fails and remains unresolved after reasonable notification attempts.
  • You violate the Acceptable Use provisions in Section 8.
  • Your use of the Service poses a security threat to the Service, other users, or third-party platforms.
  • We are required to do so by law or by a third-party platform whose API we depend on.

We will make reasonable efforts to notify you promptly after any suspension and to restore access once the underlying issue has been resolved.

12.4 Effect of Termination

Upon termination, regardless of the reason:

  • 30-day data export window. You will have 30 calendar days from the effective date of termination to export your workspace data in JSON format. We will provide access to the data export functionality during this period.
  • Permanent deletion. After the 30-day export window, we will permanently delete all Your Data from our active systems and, within 90 days, from our backup systems. We may retain anonymized, aggregated data that cannot be used to identify you or your workspace.
  • Connector disconnection. All source and destination integrations will be disconnected. We will stop reading from your chat platforms and writing to your productivity tools.
  • Surviving provisions. Sections 7 (Intellectual Property), 8 (Acceptable Use), 9 (Data Processing), 10 (Limitation of Liability), 11 (Warranty Disclaimers), and 13 (General Provisions) survive termination.

13. General Provisions

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

13.2 Informal Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute through good-faith negotiations within 30 days. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.

13.3 Jurisdiction

Any formal disputes arising out of or in connection with these Terms shall be submitted to the non-exclusive jurisdiction of the courts of England and Wales. This does not affect your rights as a consumer to bring proceedings in the courts of your country of residence where permitted by applicable law.

13.4 Class Action Waiver (US Customers)

If you are located in the United States, you agree that any disputes will be resolved on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding. This waiver does not apply where prohibited by applicable law.

13.5 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

13.6 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government action, power or internet outages, failures of third-party services (including AI providers, cloud hosting providers, and integrated platforms), and cyberattacks.

13.7 Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and ThreadMemory regarding the Service and supersede all prior and contemporaneous agreements, proposals, and representations, whether written or oral.

13.8 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ThreadMemory may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms. Any attempted assignment in violation of this section is void.

13.9 No Waiver

Our failure to enforce any provision of these Terms at any time does not constitute a waiver of that provision or of our right to enforce it at a later time. Any waiver must be in writing and signed by ThreadMemory.

13.10 Modifications to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide at least 30 days' advance notice via email to the address associated with your account. The updated Terms will also be posted on our website with a revised "Last updated" date. Your continued use of the Service after the notice period constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service and terminate your account before the changes take effect.
